Updates

Deed Administrators' update

The Deed Administrators have now declared and paid the second interim dividend of the PAS Group on 8 March 2023 .

Creditors whose debt or claims have been adjudicated for the first and second interim dividend will automatically be included in any future dividends declared. You are not required to re-submit your Proof of Debt (POD) unless your claim has changed. 

As part of the Deed of Company Arrangement provisions, dividends relating to all claims against Companies within the PAS Group will be paid out of The PAS Group Distribution Company Pty Ltd.

The Deed Administrators will provide a further update in the next six months regarding payment of the final dividend.

Completion of Sale and Retirement of Deed Administrators

The Deed Administrators have completed a share sale of the PAS Group to PAS Group International Pty Ltd effective 1 February 2021. We are extremely pleased that the PAS Group will carry on as a business in its current form.

Specifically, this sale (Second Transaction) refers to the following trading entities:

• The PAS Group Limited
• Black Pepper Brands Pty Limited
• Review Australia Pty Limited

It also includes the following non-trading entities:

• PASCO Group Pty Ltd
• PAS Finance Pty Ltd
• AFG Retail Pty Limited
• Chestnut Apparel Pty Limited
• PASCO Operations Pty Ltd
• The Capelle Group Pty Limited
• Fiorelli Licensing Pty Limited
• Metpas Pty Ltd
• The Hopkins Group Aust Pty Limited

The Deed Administrators also sold the assets and the business of Designworks Clothing Company Pty Ltd and Yarra Trail Pty Limited on 30 November 2020 (First Transaction).

The Deed Administrators remain appointed over The PAS Group Distribution Company Pty Ltd (Subject to Deed of Company Arrangement) (the Distribution Company ) for the purposes of:

• finalising the liabilities of the administration of the PAS Group from the period 29 May 2020 to 31 January 2021, and
• declaring a dividend to creditors for any pre-appointment claims outstanding (debts incurred prior to 29 May 2020).

Our appointment as Deed Administrators of the Distribution Company will have no impact on the operations of the PAS Group from 1 February 2021 onwards.

The Deed Administrators will write to all creditors in the coming months regarding unsecured creditor claims.
