In any transaction, the sale and purchase agreement (SPA) records the outcome of commercial and pricing negotiations. Buyers and sellers are becoming increasingly sophisticated in how they derive the maximum value possible through the negotiation and execution of the SPA.

Our dedicated SPA team provides expert support at all stages of a transaction – from pre-deal work through to post-completion support. In the pre-deal phase, the team identifies and articulates opportunities for increasing value which the client can then use to their advantage in their SPA negotiations. In the post-deal phase, the team advises clients how they can protect or generate value through the execution of the SPA’s completion mechanism.
